- COMMERCIAL LEASE CONDITIONS

1. **Landlord Approval**

* The lease shall be conditional upon the Landlord's approval of the prospective Tenant, including but not limited to a satisfactory credit check, financial verification, business references, and intended use of the premises.

2. **Credit Verification**

* All principals, shareholders, directors, guarantors, and/or individuals associated with the Tenant entity must undergo a credit and background verification process, satisfactory to the Landlord.

3. **Initial Payments**

* Upon execution of the lease, the Tenant shall remit:

* The first month's rent;
* The last month's rent; and
* A security deposit in an amount to be determined by the Landlord.

4. **Triple Net Lease (NNN)**

* This lease shall be structured as a Triple Net (NNN) lease. In addition to the base rent, the Tenant shall be responsible for its proportionate share of all operating expenses relating to the property, including but not limited to municipal and school taxes, building insurance, common area maintenance costs, utilities, snow removal, landscaping, repairs, and any other expenses associated with the operation, maintenance, and management of the property.

5. **Tenant Improvements and Fit-Up**

* Any alterations, leasehold improvements, renovations, permits, inspections, or fit-up work required for the Tenant's business operations shall be completed at the sole expense of the Tenant and subject to the Landlord's prior written approval.

6. **Equipment and Fixtures**

* Any equipment, fixtures, furnishings, machinery, or other assets currently located on the premises are not included in the lease and shall be purchased separately by the Tenant. The purchase price and terms shall be negotiated between the parties and documented in a separate agreement.

7. **Permits and Compliance**

* The Tenant shall be solely responsible for obtaining and maintaining all permits, licenses, certifications, and governmental approvals necessary for the operation of its business and shall comply with all applicable municipal, provincial, and federal regulations.

8. **As-Is Condition**

* The premises shall be accepted by the Tenant in its current "as-is" condition, except as otherwise agreed to in writing by the parties.

The sale is made without any legal warranty, at the buyer's own risk and peril.

Notwithstanding the foregoing, the Seller declares that, to the best of the Seller's knowledge, all restaurant equipment included in the sale is in good working condition and operational as of the date of signing of this Agreement.
